Terms and Conditions
These Terms & Conditions (“Agreement”) govern the relationship between IRS Design (“we”, “us”, “our”, “Service Provider”) and you (“you”, “Client”, “Customer”) regarding the digital marketing, design, branding, web development, advertising, SEO, and related services we offer (collectively, “Services”). By signing, clicking any confirmation button, submitting an order, paying an invoice, or using our Services in any way, you agree to be bound by all terms in this
document.
1. Purchase Agreement
- Once you accept a proposal, quote, or plan from IRS Design (via signature, confirmation button, or invoice payment), you acknowledge reading, understanding, and accepting all terms and conditions herein.
- The specific scope, deliverables, timeline, and fees will be as per the invoice/agreement provided by IRS Design. These are additional to the Common Terms & Conditions below, where applicable.
2. Common Terms & Conditions
2.1 Authorization & Access
- You authorize us to access, use, and administer any accounts, third-party platforms, tools, domains, hosting, where necessary, to perform the Services.
- You agree to provide all login credentials, content, media, graphics, text etc., as needed in formats acceptable to us, in a timely manner.
2.2 Client-Supplied Materials
- You are responsible for ensuring that any materials you provide (text, images, audio, video, designs, third-party stock assets) do not infringe on any copyrights, trademarks, or other third-party rights.
- You grant IRS Design a license to use such materials as needed for the performance of Services. You indemnify us for any claims arising from such materials.
2.3 Additional or Modified Work
- If you request changes, features or additions beyond the agreed-scope (e.g. design changes, new pages, extra revisions), such work will incur additional charges at a rate specified in the quote or invoice, or standard hourly/project rate.
2.4 Payment Terms
- Payment schedules, deposits, and full/partial payments will be specified in your invoice or agreement.
- Unless otherwise agreed, a deposit of [X%] may be required before work begins. Final payment must be made upon completion, or as defined in the agreement.
- Delayed payments may result in suspension of Services or removal of deliverables. Overdue payments may incur interest or collection actions.
2.5 Ownership, Copyright & Deliverables
- Until full payment is received, all deliverables, source files, designs remain the property of IRS Design.
- On final payment, ownership of completed deliverables (websites, graphics, content specifically developed for you) transfers to you, unless otherwise stated.
- IRS Design retains rights to display work in our portfolio and marketing materials, unless a separate written agreement prohibits this.
3. Service-Specific Terms
Depending on which Services you have engaged, additional terms may apply. Some examples:
3.1 Web Design & Development
- Domain registration, hosting, email setup etc. if handled by us will incur additional fees.
- Cross-browser compatibility will be ensured for major modern browsers, but legacy or older versions may not be fully supported unless specifically agreed.
- Use of open-source CMS platforms, third-party plugins or themes may carry limitations, which you agree to hold harmless IRS Design for.
3.2 Search Engine Optimization (SEO)
- We do not guarantee specific rankings in search engines. Though we employ best practices, many ranking factors are outside our control (algorithm changes, competition, content, hosting etc.).
- SEO engagements typically have a minimum term (for example, 3-6 months) to allow time for effects to manifest.
3.3 Advertising Campaigns (PPC / Social Media Ads)
- You are responsible for the advertising budget (e.g. spend on Google Ads, Facebook Ads etc.). IRS Design manages campaign setup and strategy but does not pay the third-party platforms on your behalf unless otherwise agreed.
- Results (clicks, impressions, conversions) cannot be guaranteed due to external factors such as competition, platform policies, budget, ad approval status, etc.
4. Cancellation, Refund & Termination
- Either party may cancel the services under the terms set out in the agreement. If you cancel after the start of work, deposits or fees for work already performed are non- refundable.
- For monthly or subscription-based services (maintenance, SEO, ad management etc.), cancellation must be given in writing (email or otherwise) at least [X] days before the next billing cycle.
- IRS Design reserves the right to suspend or terminate services immediately if you breach these Terms, act abusively, or fail to make payments.
5. Limitation of Liability & Indemnification
- To the fullest extent permitted by law, IRS Design (and its officers, agents, contractors) will not be liable for indirect, special, incidental, or consequential damages arising from the provision of Services.
- Your exclusive remedy for any claim shall be the amount you have paid to us under the relevant agreement.
- You agree to indemnify and hold IRS Design harmless from any third-party claim arising from your content, materials, misuse of Services, or violation of any law.
6. Confidentiality & Nondisclosure
Both parties agree to keep confidential any proprietary or confidential information shared during the engagement (including strategies, business data, sensitive materials) and not to disclose them to third parties unless required by law.
7. Revisions to this Agreement
We may amend or update these Terms & Conditions from time to time. Any changes will be posted on our website with a new effective date. Continued use of our Services after the change constitutes acceptance.
8. Governing Law & Dispute Resolution
- This Agreement shall be governed by the laws of [Your State/Country – e.g. West Bengal, India or where your business is incorporated].
- Any disputes arising out of or related to this Agreement shall be resolved in the courts or via arbitration in [Your City, State/Country], unless otherwise agreed in writing.
9. Miscellaneous
- If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- The failure of IRS Design to enforce any right under this Agreement shall not be deemed waiver of that right.
- This Agreement constitutes the entire understanding between you and IRS Design regarding the Services, and supersedes all previous oral or written communications, proposals, or agreements.
